Form 941, Part 1, Line 1

Line 1 of Part 1 of Form 941 asks for:

Number of employees who received wages, tips, or other compensation for the pay period including: Mar. 12 (Quarter 1), June 12 (Quarter

2), Sept. 12 (Quarter 3), or Dec. 12 (Quarter 4)

Does that mean the number of employees on those 4 specific dates: March 12, June 12, September 12, and December 12, or the maximum number of employees for the each quarter? This use of the word "including" has me baffled.

Look at the pay period(s) which include September 12 (for Q3's 941). How many employees received paychecks? Note that this is not precisely the same as how many employees did you have on September 12 as you could have terminated an employee on 9/11 or hired on 9/13 if their last/first paycheck would have included 9/12.

Why don't they just say Q1, Q2, Q3 and Q4? Is it because some companies have fiscal years that do not align with the calendar year? So, in those cases that want the Q3 data to include whatever quarter of their fiscal year includes Sept 12?

And, if I understand you correctly, when employment fluctuates during the quarter, it would be the maximum number of employees for that quarter.
