Delaware Corp issue

I wanted to post this actual question from my client; we're in Mass., and see what feedback I might get. Since the Sec of State's MA office never had an incorporation, I don't know if there's a problem there. The IRS doesn't seem much of an issue here (correct me if I'm wrong). Delaware itself is the rub. Any comments of what should be done re each of the 3 jurisdictions?

Client's post I was thinking of turning my computer programming 'business' into an actual corporation, so I started a business (a Delaware LLC) through an online website, Bizfiling, which seems to have a good reputation. I've since more or less reconsidered and have thought that maybe the income wouldn't be enough to sustain it. If I dissolve the organization through the same website, and if no income was actually made through the company, would it have to file a tax return?

The Delaware annual LLC tax of $250 is due by June 15 following the end of the calendar year, or on the cancellation of the certificate of formation. [Del. Code Ann.6 §18-1107]. No information return would be necessary if the LLC (which has not elected to be taxed as a corporation) had no Delaware source income during the year. The $250 tax can be paid through the DE Secretary of State web site,
