I saw this post dated back to 2002 and no answer. As I have the exact same situation I am curious to see if anyone can help.



Reading the instructions on page 3 of form 1065 it seems quite clear to me that if an LLC with no US partners and no US source income is not required to file form 1065 (and therefore no other tax forms in the US). Of course, we will have to file personal taxes in France but this is taken care by our French accountant. What I would like to know if the US side of things.

A foreign partnership with no US partners, no ECI, no US GI has no US filing requirement. Why would they???

He didn't say it was a foreign partnership.

I associate "LLC" with a US formed LLC.
