I've got a new non-public client that issues common stock (restricted as to transferability) as payment for interest on notes payable owed to an unrelated person. Is that reportable on Form 1099-INT if the amount is over $600? I'm guessing that it is, and Section 83(b) is not applicable, because this is not for services as a contractor or employee.

I don't know the answer to that, but it certainly seems like a violation of both state and federal securities laws.
I don't see any issue with this as long as the lender is willing to accept property in lieu of cash. The normal $600 rule for issuing a 1099-INT would be applicable. I also agree that Sec.
83(b) is not applicable as this has nothing to do with compensation.Join the Discussion
