Preference shares

Can anyone point me to an good guide explaining types of shares and their advantages/disadvantages, both to the investor and to the company.

Im looking at investing into a small limited company and also in becoming a director in that company.

In my limited knowledge so far it seems that the safest kind of shares for an investor would be that of preference shares with full ratchet protection?

No-one seems to want to answer this, but prefeence shares pay a fixed dividend, usually less than ordinary shares, but come higher in the pecking order for payment. Perverse verses, putrid poetry, diabolical doggerel...

They might be the safest kind of shares, but that's almost insignificant compared to the health of the company. Investing in some ones else's small company is just about the most risky investment anyone can make.

I've never heard of full ratchet protection.
