How to issue shares ?

Can I issue and sell the shares of a Wyoming corporation without IPO ? In particular, I would like to sell some shares of my corporation to my friends.

You should have an attorney draw up shareholder agreements that spell out who owns what exactly, and how things get valued and who gets paid what when the friendship (as well as the business) goes south, and I don't mean moving it to Florida.

Talk to your friends to see if they are remotely interested (but don't take any money from them) before you spend the money on an attorney.

There may not be anything to **PREVENT** issuing shares, but there may be **LIMITATIONS**. In my jurisdiction, for example, a private company may not have more than 50 shareholders. And the corporation tax rate rises dramatically if more than 50% of the shares are owned by persons who are "non-resident" (as defined for tax purposes).

As Paul advised, consult a lawyer (and/or an accountant) who is licensed in Wyoming or at least thoroughly familiar with applicable Wyoming law and taxes.

if you have less than 100 friends and your friends all agree, you can simply make up a written contract to each of your friends specifying the terms. of course, your friends cannot trade the shares... they are really just contracts.

then, when your company becomes worthless, they sue you personally for what you owe them.
