I just purchased the 2006 upgrade. Should I uninstall the 2004 ver first, make a clean install of 06 then import/convert my data into 06 or just upgrade over the 04 version?

You might consider leaving the 2004 intact for now. You can have both versions on 1 machine.
Then open 2006, do the file conversion, and uninstall 2004 later......once you are satisfied you won't need it again.
We have several machines with both QB 2003 and QB2006.
Just be sure to indicate that you want a fresh install rather than an upgrade so you can specify the install directory.
