Companies House.

WHat does this mean as seen on the Companies House website

*Last Return Made Up To*: *Next Return Due*: 11/07/2006

What exactly is a return?

Also, are charities registered at Companies House? If a company becomes a registered charity does it get removed?

Thanks.

A return is a Financial audit. Every year, a Ltd company has to submit their finance audit to Companies House.

Registered charities aren't listed at Companies house, only Ltd companies are. There is a list for charities but I can't remember what the organisation is called (something like charities commission).

The annual return is submitted with the accounts (audited if necessary) and is due IIRC 10 months after the Accounting Period end. The AP is normally the end of a month, so presumably this is a first set of accounts for a company incorporated 12/09/2004?

No, if a company is a charity it sends annual returns to both bodies.

....is complete bollocks so ignore that. The annual return gives a list of Directors, Secretary etc.

Not correct. The Annual Return is usually due at a different date to the accounts.

The first Annual return is made up to 12 months after incorporation and is then due to be filed within 28 days.

Accounts for non PLCs are due within 10months of its Accounting Reference Date.

Oh no it's not!

The majority of companies are 'small' and do not require an audit and need only submit abbreviated accounts.

The annual return gives details of shareholders, directors, the type of business the company is carrying on and various other things.

Charitable companies are. Charitable trusts are not.

No.

So it should not be possible for someone to be a registered charity and collect gift aid without being listed on the CH website?

What about companies listed by guarantee - so they are not Ltd.

Ermm...limited by guarantee...so they *are* limited.

If they are a charitable trust, they will not be listed on the companies house website, but they will still be able to collect gift aid.

Community Amateur Sports Clubs are not charities and may not necessarily be a company, but can still collect gift aid.

Why don't you name names or post a link. If the charity is not a limited company it won't be listed on the CH website.

And unlimited companies appear at companies house as well. There aren't many of these around though.

The 'return' is not the accounts or 'financial audit' - it is the Annual Return.

No it isn't. It is the "shuttle return", which is basically a list of directors and changes in shareholders.

Company accounts *also* have to be submitted, but for small companies, they can be abbreviated accounts, and do not require auditing.

That depends on the structure of the charity.

Most are Companies Limited by guarantee, and *are* listed at companies house.

Rubbish.

Most charities are NOT companies limited by guarantee. Most are unincorporated bodies established by deed of trust.

Incorrect.

The vast majority of charities are not limited companies, and are not listed at companies house.

If a charity is registered, it will be listed on the Charity Commission site.

Very small charities are not obliged to register with the Charity Commission either ( less than 10,000 turnover)

Do you mean 1,000 ?

Yes.

It used to be 10,000 with voluntary registration from 1-10k

Now all charities over 1k have to register.
