Could this work, possible but I would have done a search for this file on my computer and deleted all instances of the file before I installed QB again. You said you unistalled but I do not see any indication that you manually deleted any QB folders and registry entries.
I ment to say all the QB folders. How about the c:\program files\common files\intuit\Quickbooks folder?

At this point what have you go to lose? Rename the bad file to qbm3t2.old (or something like that) to save it in case you need to restore it.
When you reinstalled QB did you uninstall the program first? Did you reboot in between uninstalling/reinstalling?
You shouldn't have to upgrade because of this issue. You were able to install it once so you should be able to install it again.
I would also compare the files (dates & filesize) between the 2 computers to make sure that they match. You might find that there are other files that don't match. I would copy them too.

Well that would be my last resort. Someone said he had a similar issue with 2004 and Intuit emailed him a replacement file. I'm tempted to copy qbm3t2.dat from the old computer (which has a properly updated QuickBooks) to the new computer, but I fear the possible consequences of doing that.
After uninstalling, I deleted C:\Program Files\Intuit, but I'm NOT going into the registry. I'll buy the upgrade before I do that.

Once again, I uninstalled, deleted C:\Program Files\Intuit, this time I deleted C:\program files\common files\intuit\Quickbooks, reinstalled QB, reinstalled the update, dutifully restarting and disabling virus protection between each step.
Guess what? BINGO!!
I recopied my company files back where they belonged, downloaded a payroll update, ran Verify on both companies and everything is ducky.
